RESALES OF RESTRICTED SECURITIES UNDER RULE 144A
Rule 144A applies only to resales. An issuer cannot utilize Rule 144A. However, Rule 144A has become so important to issuers because it permits a financial intermediary to buy unregistered securities from an issuer and resell them to an unlimited number of “qualified institutional buyers” (QIBs) in transactions that comply with Rule 144A.
