Mr. Sonfield provides specialized services in the areas of securities regulation, federal income taxation, financial services consulting and regulatory consulting as well consultation on emerging issues concerning innovative and complex financing, IPOs, mergers and acquisitions, and capital markets access.
The emphasis of Mr. Sonfield's practice is providing legal services to a carefully defined segment of the financial services industry and companies seeking access to capital markets. Mr. Sonfield limits his practice to serving issuers of securities and the investment bankers who sell the securities to individual and institutional investors. Thus in his function as corporate counsel, the firm provides the legal services necessary for the public and private offering of debt and equity securities as well as the regulatory compliance required before, during and after the offering. In its role as counsel to brokerage and investment banking clients, the firm participates in the negotiation and documentation of mergers, acquisitions and divestitures, the regulatory compliance required for those transactions and the internal regulatory compliance required of brokerages and investment banks.

Ventures financed by the firm’s client issuers or investment bankers include such diverse and innovative investment enterprises as rehabilitation of historic structures, oil and gas refining and exploration, government subsidized multi-family housing, cattle breeding, thoroughbred breeding, research and development, natural gas processing, mining of precious metals, conventionally financed multi-family housing, a broad diversity of financial instruments, cable television systems, equipment leasing, rare coin investment, motion picture production and distribution, office building construction and operation, shopping center construction and operation, office warehouse construction and operation, mini-warehouse construction and operation, cattle embryo transfer, co-generation, and a diverse selection of agricultural and agri-business investments.
